If a phrase below conflicts with a promise you were given in writing on your commission slip, the more specific promise on the slip wins.

1. Company identity

The studio that delivers every promise on this site operates under the legal name MAGSART LLC, a United States limited liability company with its studio at 1873 S Carrigan Cir, Salt Lake City - 84109-1475, United States (US). The individual artist and developer behind the studio is MagsArt, and the studio signs its work and its service slips under that name.

MAGSART LLC commissions limited edition and original painted works, hosts portrait sittings, leads plein air weekends, runs children and teen studio classes, coordinates framing and finishing, and presents seasonal gallery showings. Wherever these terms say the studio or we, they mean MAGSART LLC acting through its studio. Wherever they say you or the collector, they mean the person who books or purchases a studio service for themselves or for the benefit of a learner they accompany.

2. What these terms cover

These terms sit beneath every service displayed on the services page and sold from the homepage and the contact page. They apply to an original private commission, a portrait or other sitting arrangement, an eight-week studio class term, a plein air workshop weekend, a frame and finishing coordination job, and the purchase of a finished or exhibition piece at a seasonal gallery showing.

Website browsing itself is also governed here in a light way: the magsart.buzz site and its legal pages are provided for collectors and learners, all content is owned by or licensed to the studio, and nothing on the site grants you a licence to reproduce a painting image for resale. The separate privacy policy explains how your personal information is handled, and these terms should be read together with that policy.

3. Quotes and the commission slip

No original painting begins on guesswork. After a conversation about subject, surface, scale and finish, the studio gives you a written quote by email or letter, valid for thirty days. When you approve the quote, the studio issues a commission slip, which names the work, the agreed price, the schedule and the service code shown on the ledger of the website.

The price on the commission slip stays fixed from approval until delivery; the studio will not inflate it for time, materials or a surprise. A change you request after work begins, such as a different subject or a much larger surface, is priced on a written amendment so there is never a hidden cost. If a written quote promise and a brochure figure ever disagree, the written promise wins.

4. Deposits and payment schedule

Deposits reserve the easel and buy the materials, so they welcome commitment in both directions. A standard commission requires a deposit of fifty percent of the slip total to secure the booking and to cover stretched canvas, primer and the first paint. The remaining balance falls due when the finished work is approved at the final review, before the work leaves the studio.

Studio class terms are payable in full at enrollment. Plein air weekends require a fifty percent deposit to hold a seat and full payment no later than ten days before the field date. Frame and finishing coordination is billed half at fitting and half at final placement. Payment may be made by bank transfer, card through the studio processor, cash or check at the studio bench. A late payment on a commissioned balance delays delivery by the number of days it is late, because drying and varnish still run on their own calm timetable.

5. Commission timelines and drying

Real paint refuses to be rushed. A typical single-canvas commission runs four to ten weeks from the approved sketch, depending on scale and how many glazing layers the finish needs. Depth and oil films simply will not accept a new coat until the layer beneath is dry, so the studio timetable protects that wait rather than fighting it.

The studio aims to meet the schedule on the commission slip, but genuine drying setbacks, severe weather for an outdoor subject, or an artist illness can push a date later. If a delay appears, the studio tells you as soon as it knows and gives a new realistic date, and a slip that runs late does nothing to raise your price. You may, conversely, ask to slow a finish down to allow more review time; the studio honours a well-timed request.

6. Underpaint and mid-point review

The studio protects your taste by showing its hand early. At roughly the halfway point, before the final color is committed, the artist shares the underpaint with you in person or by video so the direction can be checked. This is the moment to change a pose, warm a sky or ask that a figure turn slightly, because correcting an underpaint is cheap and repainting a finished canvas is not.

If the underpaint misses the mark entirely, the studio reworks it once at no charge before color is added. Substantial changes requested after color has begun may carry a revision fee quoted in advance, so every choice stays clear and priced. The review visit is free, encouraged, and usually the most useful hour of the whole commission for both sides of the easel.

7. Accepting a finished painting

A commission is done when you say it is. The studio invites you to a final studio review or a video walkthrough once the paint has cured enough to varnish, and you approve the work in its finished, framed state where framing was booked. Your approval, given either in writing or by accepting delivery of the piece, accepts the work as meeting the slip and starts the warranty window described below.

If you decline a piece at the final review, the studio listens closely. A genuine finishing adjustment that remains within the original brief is made within a fortnight at no extra cost. If the work simply cannot meet the brief after a good faith effort, the studio will either redo the piece on a new surface or refund the deposit in full; you choose which way to walk. Rejection does not end your right to the underlying reference materials, which remain yours throughout.

8. Cancellation and revisions

Life happens, and the studio keeps cancellation honest rather than punishing. A commission cancelled before the underpaint review earns a refund of the deposit less the value of materials already cut and stretched for that surface and less time already spent on the sketch. A commission cancelled after the review earns a refund minus materials and a fair share of the painting time, agreed in writing at the point of cancellation.

A started surface can sometimes be turned to a different brief of similar size without a full re-quote. New larger or differently themed directions are treated as a new commission under fresh terms, so nothing is ever rushed just to avoid a second slip. Class mid-term cancellations are credited, rather than refunded, toward a later term, because the seat and the prepared apron are hard to refill mid-way; full-term cancellations made more than a week before the term start receive a full refund.

9. Portrait sittings policy

A portrait grows from calm sittings, so the studio guards that calm. A sitting lasts roughly ninety minutes and is booked on the hour in the north-light studio, with a fifteen minute settling window either side. You are asked to give forty-eight hours notice for a reschedule; a missed sitting without notice can be rebilled at a reduced sitting rate, because the light, the chair and the studio time were already set aside for you.

Children usually sit best in short bursts, so a child portrait may split a single slot into two shorter visits at no extra appointment fee. Sittings at your home are possible within the Salt Lake metro for a travel supplement noted on the slip before you agree. Whatever the venue, you direct the tone of the sitting, and the studio follows your lead with a warm and unhurried painterly hand.

10. References sent from the sitter

Photographs and notes you hand over to guide a portrait become part of the working material. By providing reference photographs you confirm that you own them or hold permission to use them for your own portrait, and that the studio may study them to paint the commissioned work. The studio keeps those references only for the project, as described in the privacy policy, and never sells or lends them.

Where a reference was taken of a person other than yourself, you confirm you have that person blessing or lawful standing to supply it. The studio relies on that confirmation and asks you to keep it truthful, because painting from a photograph you do not own is a problem that catches everyone late. Your trust in returning originals is met by careful handling and prompt digital copies where photographs are supplied.

11. Studio class enrollment

Class program places are limited so every easel gets attention. Enrollment is confirmed only when payment is received, and a term runs eight consecutive weekly sessions with a published calendar. Missed sessions may be attended in the equivalent session of the following term only when a spare seat exists and the studio agrees in writing, because a loose seat costs the studio space that a paying learner could otherwise fill.

All studio materials, aprons, surfaces and paints are provided, and nothing extra is asked at the door. A student who repeatedly disrupts the shared bench may be asked to step out for a session, and after two written warnings a place may close with a pro-rated refund for unused sessions, to protect the learning of everyone else in the room. Parents of minors are asked to collect promptly when the session ends so the young artist is never waiting unattended.

12. Plein air weekend terms

Plein air weekends run outdoors in the spring and autumn, so they answer to the sky more than to the office. Each weekend moves to a canyon, reservoir bank or historic street named on the slip, with a small group capped near ten. The deposit holds your easel place and secures the location permit; the balance closes ten days before the field date.

Severe weather and lightning force a postponement, not a cancellation, and the studio reschedules to the nearest open weekend at no fee. Attendance is at your own selection of a sensible distance from any cliff or current, and while the studio provides support gear, sun protection and sturdy footwear are your responsibility. A completed field painting can be finished and framed by the studio on-site if you ask, under the terms of the finishing section below.

13. Framing and finishing coordination

Finishing is the quiet partner of every canvas. The studio coordinates archival varnish, moulding selection from its wheat and umber samples, glazing where glass protects the surface, and conservation-grade hanging hardware, all assembled in-house to keep shipping gentle. You approve the moulding from physical or photographed samples before it is cut.

Framing work follows a separate slip when it stands alone, or is added to the commission slip when the canvas is bespoke. Payment for framing is half at fitting and half at final placement. Because moulding is milled to order, cancellation after the frame is cut forfeits the frame portion you already paid, a small and clearly explained risk the studio names before the wood leaves the rack.

14. Delivery, packing and risk

Risk in a finished painting passes to you only on the day it arrives in your hands. Until then the studio carries the care. Local delivery within the Salt Lake metro includes placement of the framed work on your chosen wall, level and lit, at the delivery rate quoted on the slip. Long-distance collectors receive a securely packed, insured shipment at a rate quoted before dispatch, with the work wrapped in inert film and crated where the route demands it.

Insurance is arranged for the full insured value, and the studio declares that value clearly to the carrier so a claim can never be short-changed. You are asked to inspect a crate on arrival before signing, and to note any transit damage on the delivery record within forty-eight hours. The studio photographs works before dispatch so an honest comparison is always on hand if a claim needs evidence.

15. Copyright and reproduction

In the United States and internationally, the artist MagsArt retains the copyright of every original painting, drawing and sketch created by the studio, subject to the fair uses the law allows. When you buy a painting you buy the physical object and the right to display it in your own home or office, not the copyright, unless a transfer is signed separately and in writing. This is standard in the art world and protects every artist honest living.

The studio reserves the right to photograph finished works for its portfolio, catalogue and seasonal showing previews, and to publish those images on magsart.buzz and its social media. You may photograph your own painting for personal keepsakes and online posting, and you may even tag the studio, which the studio enjoys. You may not reproduce the painting in quantity, license it to a brand, or print it for sale without written studio permission.

16. Returns, warranty and fair use

Because a bespoke commission cannot simply be restocked and resold, the studio applies a fair-use warranty rather than a retail return window. The studio warrants that an accepted work is completed as described on the slip, uses archival materials, and is delivered with sound framing where framing was booked. Within twelve months of acceptance, the studio will repair, at no labour charge, any surface fault that genuinely arose from the way the painting was made, such as a blister, an unstable crack or a varnish bloom.

That repair promise does not cover damage from dropping, sun bleaching, or hanging a varnished canvas near a hot lamp, which is normal homeowner wear. If a delivered work turns out to be seriously at odds with the approved underpaint or brief in a way the studio missed, the studio will repaint or refund rather than argue, so a dissatisfied collector always has a clean and friendly exit from a genuine fault.

17. Behaviour at the studio

The studio is a working place with wet paint, sharp palette knives and framed canvases leaning against the rack. Visitors are asked to follow the studio word on what is safe to touch, to keep young children within reach of an adult, and to respect that a drying glazed surface must not be brushed by curious fingers. Pets are welcome in the yard by arrangement but not across the wet drop cloth.

Mutual respect keeps the bench warm. The studio will not tolerate abusive, threatening or discriminatory behaviour toward its artist, its learners or its visitors, and reserves the right to ask a visitor to leave and to end any arrangement where that behaviour disrupts the studio. Learning and commissioning are joyful work, and the studio protects that joy as carefully as it protects a wet glaze.

18. Limits of liability

The studio works carefully, but its liability is written to stay sensible rather than open-ended. To the fullest extent the law allows, MAGSART LLC liability for any claim arising from a commissioned work or a studio service is limited to the amount you paid for that particular work or service, and the studio is not liable for indirect or consequential loss such as lost business, lost decoration value or emotional distress from a painting that needed repairs.

Nothing in these terms removes a right the law says cannot be removed, so collectors in protected jurisdictions always keep their statutory guarantees. For a genuine material fault the studio offers repair, repaint or refund as stated in the warranty section above, and it chooses friendliness over legal posture wherever the facts allow a warm resolution.

19. Governing law

These terms and their performance are governed by the laws of the State of Utah and the federal law of the United States, without regard to conflict of law principles that would apply another jurisdiction to a Utah studio serving a United States address. For a dispute that is not solved by friendly studio conversation, the courts of the State of Utah, sitting in Salt Lake County, have exclusive jurisdiction, because it is fair to answer where the studio works and keeps its records.

If you live outside the United States, nothing here stops you from relying on the mandatory protections of your own home law, and the studio honours a friendly request to resolve a difference through an independent mediator before either side reaches a courthouse. A handshake is worth more than a subpoena, and the studio opens every dispute with a genuine offer to settle it plainly.

20. Changes and contact

The studio may update these terms from time to time, posting each revision at this address with a fresh date at the top of the page. Changes apply to arrangements that begin after the revision date; work already underway keeps the terms that stood when it was booked, as you would expect of a fair studio. A material change that could affect an existing arrangement is explained to the affected collector in writing before it matters.

Questions and requests about these terms belong in the daylight of the studio office, not in fine print.
